Prexisio (“we,” “us,” or “our”) provides services focused on helping organizations centralize data, automate data pipelines, and standardize recurring reporting. These Terms apply to website visitors and clients.
If you are engaging Prexisio on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Services & Ownership of Deliverables
2.1 Custom Solutions
We provide professional services tailored to each client’s needs. This may include data integration, data engineering, ETL/ELT pipeline automation, data modeling, reporting/dashboard development, documentation, and operational handoff support.
2.2 Client Ownership
Unless otherwise specified in a written agreement, client-specific deliverables we create for you (such as dashboards, reports, data models, pipeline code/configuration, and documentation) belong to you upon full payment.
2.3 Prexisio IP
Prexisio retains all rights to our general know-how, methods, templates, frameworks, and reusable internal tools that are not client-specific, even if used in the course of delivering services.
2.4 Third-Party Tools
Projects may involve third-party platforms (e.g., BI tools, databases, ETL tools, cloud providers). Clients are responsible for complying with third-party terms and maintaining appropriate licenses and access.
3. Confidentiality
Both parties agree to protect confidential information shared during an engagement.
- Client Data: We will not disclose or misuse proprietary or sensitive client information.
- Prexisio Materials: Our internal methods and templates remain proprietary.
- NDA: If needed, the parties may sign an NDA prior to project start.
4. Acceptable Use
You agree not to use our website or services for illegal, deceptive, or unethical purposes. Prohibited actions include requesting work that supports fraud, violating applicable laws, or misusing deliverables for deceptive practices.
5. Payment & Fees
Payment terms are defined in individual proposals, statements of work, or invoices.
- Billing: Fees and milestones will be specified in writing before work begins.
- Late Payments: Late payments may result in paused work and may incur fees as permitted by law or agreement.
- Refunds: Professional service fees are non-refundable unless otherwise agreed in writing.
6. Limitation of Liability
To the maximum extent permitted by law, Prexisio is not liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim related to services is limited to the amount paid by you to Prexisio for the specific services giving rise to the claim.
7. Termination
- By You: You may terminate services by providing written notice, subject to payment for work completed and any cancellation terms in the applicable agreement.
- By Us: We may terminate or suspend services if you materially breach these Terms or fail to meet payment obligations.
8. Governing Law & Dispute Resolution
These Terms are governed by the laws of Colorado, USA, without regard to conflict-of-law principles. Disputes will be resolved as specified in the applicable written agreement, or if none, through good-faith negotiation first, and then binding arbitration if required.
9. Updates to These Terms
We may update these Terms periodically. Continued use of the website or services after changes means you accept the updated Terms.
